PUBLIC OFFER AGREEMENT

This document constitutes a Public Offer Agreement under Ukrainian legislation (Articles 633, 641 of the Civil Code of Ukraine). It is an official public proposal by Sole Proprietor Pimenov Volodymyr Volodymyrovych to conclude an agreement on the provision of digital services and digital content to any individual or legal entity under the conditions specified below.

1. GENERAL PROVISIONS
1.1. This Agreement regulates the procedure for providing access to the Momo Hero platform services, purchasing prompts, obtaining AI-generated business plan templates, and participating in the Early Bird SaaS registration program.
1.2. Payment for services or registration via the payment gateway on the website www.momohero.com signifies full and unconditional acceptance (acceptance of the offer) of this Agreement by the User.
1.3. This Agreement has the same legal force as a bilateral written agreement signed by the Parties.

2. SUBJECT OF THE AGREEMENT
2.1. The Provider undertakes to provide digital content and/or software access rights (the "Services"), and the User undertakes to pay for the Services under the terms of this Agreement.
2.2. The specific scope, technical characteristics, delivery formats, and prices of the Services are detailed on the corresponding web pages of the Platform, including the prompt store page (www.momohero.com/writing-business-plan-with-7-ingridients/).

3. CONCLUDING THE CONTRACT (ACCEPTANCE PROCEDURE)
3.1. The contract is concluded from the moment the User performs one of the following actions:
- Filling out the order or subscription form on the Website and confirming acceptance of the terms;
- Making full or partial payment for the chosen digital product, prompt pack, or SaaS early bird package.
3.2. By accepting this offer, the User confirms that they have been provided with all necessary information regarding the digital characteristics of the products and the conditions of access.

4. PRICING AND PAYMENT TERMS
4.1. The cost of the products and access options is specified on the Website in the currency offered at checkout (e.g., USD, EUR, or UAH equivalents).
4.2. Payments are securely processed via third-party electronic payment systems integrated into the Platform.
4.3. The Provider's service obligation is deemed fulfilled as soon as the funds are successfully cleared into the Provider’s settlement account and the digital goods/access links are generated or made available to the User.

5. DELIVERY OF DIGITAL CONTENT
5.1. Digital content (prompts, guides, and download packages) is delivered instantly upon successful payment validation via a download link or email delivery.
5.2. SaaS Early Bird subscriptions and credits represent a pre-order right to utilize the upcoming automated platform cloud functions upon its public release in 2026. The estimated timeline and roadmap updates are provided on the Platform.

6. RIGHTS AND OBLIGATIONS OF THE PARTIES
6.1. The Provider has the right to: Modify the platform structure, discontinue specific components, alter prices, or restrict access to users violating these terms.
6.2. The User is obligated to: Provide valid contact credentials, pay the full price for selected items, and refrain from extracting proprietary prompt text structures for commercial redistribution.
